AMALGAMATION PROPOSAL INFORMATION
Proposal: Amalgamate the following effective as of January 1, 2001:
Clarkson Lorne Park Baseball Association - OBA program
(Baseball Division) - MBA program
- A-Loop program
(Note: Softball and T-Ball are operated by separate entities and are not
involved in the proposed merger at this time.)
Erin Mills Baseball Association - OBA program
- MBA program
- House League program
- Rookie Ball/T-Ball program
- Softball program
Sheridan Baseball Association - MBA program
- House League program
- Rookie Ball/T-Ball program
(Note: Sheridan does not operate an OBA or Softball program)
Numbers: The new entity would have 1300 - 1500 players based upon the current registration
numbers of Clarkson Lorne Park Baseball Association (Baseball Division), Erin Mills
Baseball Association and Sheridan Baseball Association
Transition: The new entity would have a transition board appointed equally by the amalgamating
associations for the 2001 season as well as an Executive Committee as follows:
Walter Berlin (Erin Mills) - President
Nick Bako (CLP) - Executive VP
Chris Cowan (Erin Mills) - Executive VP
Steve Swift (Sheridan) - Executive VP
Edd Bobot (CLP) - Treasurer
Pat Tistechok (CLP) - Secretary
In the fall of 2001 and annually thereafter, the membership would elect the entity's board of directors
Teams: Where viable the new entity will field more than one team at an age group at OBA or MBA.
FOR THOSE INTERESTED, AN INFORMATION MEETING WILL BE HELD AT 7:00 PM ON
TUESDAY, SEPTEMBER 26 AT TOM CHATER PARK (COLLEGEWAY WEST OF WINSTON
CHURCHILL BLVD.) ALL ARE WELCOME
MERGER RESOLUTION
The following special resolution will be put forward to the membership for its consideration:
"RESOLVED that:
(a) Clarkson Lorne Park Baseball Association (Baseball Division) ("CLPBA") merge
its operations with Erin Mills Baseball Association ("EMBA") and Sheridan
Baseball Association ("SBA") effective as of January 1, 2000, subject to approval
by each of EMBA and SBA to a corresponding special resolution; provided,
however, that if only one of EMBA and SBA approve such a special resolution,
then CLPBA shall merge its operations with the association approving the special
resolution.
(b) The Executive of CLPBA be and is authorizzed and directed to finalize and
execute such documentation as may be necessary to implement the merger
referred to in paragraph (a).
(c) CLPBA not elect a new Executive for the 2001 season, but rather that the
Executive elected for the 2000 season be empowered to continue as the Executive
of CLPBA pending the merger referred to in paragraph (a)"
To be effective, the foregoing special resolution will have to be passed by 2/3 of the votes cast
on the special resolution.
